VEXPLOR Logic Studio — Service-Specific Terms

Version 1.0 · Effective October 11, 2026

These Service-Specific Terms supplement the Standard Contract for Microsoft Marketplace, as amended by WACE's Universal Amendment, between the Customer and WACE Inc. ("WACE") for VEXPLOR Logic Studio (the "Service"). Capitalized terms not defined here have the meaning given in the Standard Contract. For a Customer located in the Republic of Korea, the Korean version of these terms, published at the same address, controls; for any other Customer, this English version controls.

1. Plant

1.1 "Plant" means one manufacturing site on one contiguous parcel of land, including all buildings and lot numbers on it, operated by the Customer legal entity that activated the subscription.

1.2 Each subscription may be used for the operations of one Plant. Another site of the same entity elsewhere, or a site of an Affiliate, needs its own subscription.

1.3 Fees are not charged by the number of user accounts. The Customer may create accounts for its personnel and for contractors, including contract manufacturers, who work on the Plant's operations. Each plan states a limit on active office users (accounts for floor PIN terminals are not counted). When the limit is reached, WACE does not stop the Service; only new office users cannot be added until the Customer moves to a higher plan or disables users.

1.4 With the Customer's consent in Section 6 of the Universal Amendment, WACE may review per-tenant usage counts (number of accounts, records stored, storage and requests). WACE does not read the content of Customer Data for this purpose. The Customer may refuse that review, in which case the scope is confirmed by documents the Customer provides. If the counts or documents show that a subscription is used for more than one Plant, WACE will tell the Customer in writing, with the counts or documents it relied on, and ask it to purchase the additional subscriptions within 30 days. Additional fees apply only from the date of the additional purchase. WACE will not restrict the Service for this reason while the Customer disputes the finding in writing.

2. Plans and add-ons

2.1 Each plan enables only the modules listed in its plan description in the Microsoft Marketplace listing.

2.2 Add-ons are added or removed by changing to a plan that includes or excludes them in the Azure portal. The change takes effect shortly after Microsoft notifies WACE of it.

2.3 When an add-on is removed, new calculations and requests for that add-on stop. Records already created remain in the Customer's tenant and stay readable.

2.4 Carbon calculation results are estimates produced from the data the Customer enters and the emission factors shown in the Service. They are supporting data for the Customer's own calculations, are not verified by a third party, and are not a certification under any standard. The Customer checks the accuracy of the factors and inputs it uses; WACE is responsible for errors in the calculation method.

2.5 Plan changes are limited to plans with the same billing term and payment option, as set by Microsoft. Changing from a plan with a free trial to a plan without one ends the trial and starts billing.

3. Free trial

3.1 Where a plan offers a free trial, the trial is available once per customer organization, for the period stated in the listing.

3.2 Microsoft converts the trial to a paid subscription at the end of the trial unless the Customer cancels before then.

3.3 If WACE finds, using the Microsoft Entra tenant ID, that an organization has already used a free trial, WACE will tell the Customer before activation. The Customer may then either continue on a paid plan from activation or cancel; a cancellation within 72 hours of purchase is refunded in full by Microsoft.

3.4 The free trial is the means by which the Customer can test the Service before paying. Once paid use begins, cancellation and refunds follow Section 7.6.

4. Support

4.1 Channels: the Support board in the Service and contact@wace.me.

4.2 Hours: Korean business days (Monday to Friday, excluding public holidays in the Republic of Korea), 09:00–18:00 Korea Standard Time (UTC+9). Support is provided in English and Korean.

4.3 Response targets during support hours: first response to a request within 1 business day; if the Service is unavailable to all users, a first notice of status within 4 business hours. Targets are measured from receipt during support hours. They are targets, not guarantees, and no service credits apply.

4.4 Support covers use of the Service and errors in the Service. It does not cover entering or migrating the Customer's data, custom development or consulting, which WACE may offer under a separate agreement.

4.5 Account administration. The Customer's owners and admins manage their own users in the Service (adding users, assigning roles, disabling and reactivating users). On a request through Support that WACE has verified, WACE resets two-step verification or unlocks an account that the Customer cannot recover itself.

5. Availability, maintenance and backups

5.1 WACE does not offer a service level agreement or an availability percentage.

5.2 The Service runs in Microsoft Azure Korea Central on one application server and one database server. High availability and geo-redundant backup are not enabled. A failure of either server makes the Service unavailable to all customers until it is restored.

5.3 The database is backed up automatically and backups are kept for 7 days. In a restore, WACE can recover the database to a point within those 7 days; data written after the restore point may be lost.

5.4 WACE announces planned maintenance that interrupts the Service in the Service and by email to the Customer's notice contact at least 3 business days in advance, except for urgent security fixes.

5.5 Users outside Korea may experience longer response times because the Service runs in one region.

5.6 Outage notice. If the Service is unavailable for 30 consecutive minutes, or for 60 minutes in total within 24 hours, WACE notifies the Customer without undue delay, at any hour, by email to the Customer's notice contact, stating what happened, the cause if known, what WACE is doing, what the Customer can do and whom to contact. This notice is separate from the support response targets in Section 4.

5.7 Fair use. Where a plan states daily limits for uploading and downloading attachments, an absolute attachment ceiling or a request rate limit per signed-in session, and use goes far beyond those limits or WACE finds misuse, WACE may pause new uploads and downloads for the Customer until the next day or until the Customer moves to a suitable plan, and tells the Customer why. Records already saved and the return of Customer Data are not affected.

6. Customer Data and export

6.1 Customer Data belongs to the Customer. WACE processes it under the Data Processing Addendum.

6.2 During the subscription, any list screen can be exported as CSV, up to 5,000 rows per file.

6.3 On request, WACE provides a full export of the Customer's business tables as CSV files within 10 business days. If the request is made during the Retention Period, WACE keeps Customer Data until the export has been delivered, even if that is after the Retention Period ends.

7. Notices before the end, suspension, cancellation and deletion

7.1 Notice contact. The notice contact is the email address the Customer registers in the Service's admin screen; if none is registered, the email address of the owner account. WACE sends every notice under these terms to both.

7.2 Notice before the end. At activation, WACE tells the Customer by email that it may request the return of Customer Data, how to request it, that Customer Data is deleted after the Retention Period unless returned, and whom to contact. For a subscription that will end at the end of its term because automatic renewal is off, WACE sends the same notice, with the end date, at least 30 days before that date. When WACE receives a cancellation notice from Microsoft, WACE sends the same notice, with the end of the Retention Period, within 1 business day.

7.3 Suspension for non-payment. When Microsoft suspends a subscription, users cannot sign in. WACE keeps Customer Data and settings unchanged during Microsoft's grace period. If payment is received, access is restored with no loss of data.

7.4 End of a subscription. When a subscription ends by the Customer's cancellation, non-payment or expiry of its term, users cannot sign in and WACE keeps Customer Data for 30 days after the end date or WACE's receipt of Microsoft's cancellation notice, whichever is later (the "Retention Period"). The Customer may request a full export under Section 6.3 during the Retention Period.

7.5 Deletion. Within 5 days after the Retention Period ends, or after a return requested within it has been completed, WACE deletes the Customer's data from the production database, together with its accounts, sessions, notifications, usage records, settings, support requests, purchaser contact details and activation sign-in records, so that it cannot be restored. WACE keeps only the records it must keep by law, as described in the privacy policy. Backup copies expire within the following 7 days. On request WACE sends a deletion record listing what was deleted and when, and when WACE's privacy officer confirmed it.

7.6 Termination by WACE without cause requires at least 60 days' notice. The notice states the end date, the data to be returned and how. WACE returns Customer Data before the end date and then deletes it as in Section 7.5.

7.7 Refunds. Microsoft refunds a cancellation made within 72 hours of purchase in full. After that, the Customer may ask WACE for a refund through contact@wace.me, and WACE replies within 5 business days.

8. Data location and language models

8.1 Customer Data is stored and processed in Microsoft Azure Korea Central (Republic of Korea).

8.2 The Service does not call any AI language model; its search works without one. If WACE offers language model features in the future, they will be off by default, and WACE will update the sub-processor list and notify the Customer's notice contact at least 30 days before such a feature can be enabled.

9. Acceptable use

The Customer will not attempt to access another customer's data, test the Service's security without WACE's written consent, overload the Service on purpose, or store special categories of personal data that the Service is not designed to hold.

10. Notices and changes

Notices to WACE: WACE Inc., 150 Dongtanyeongcheon-ro, Building A, Units 1332–1335, Dongtan-gu, Hwaseong-si, Gyeonggi-do 18462, Republic of Korea · contact@wace.me.

WACE publishes each version of these terms with its version number and effective date and keeps earlier versions available. A new version applies to an existing subscription only from its next renewal, and WACE emails the Customer's notice contact at least 30 days before that renewal.

11. Governing law and disputes

This Section prevails over Section 11.10 of the Standard Contract. This Agreement is governed by the laws of the Republic of Korea, without affecting any mandatory law that protects personal information or consumers. Any dispute arising out of or in connection with this Agreement shall be brought in the competent court of the place where the defendant has its principal place of business. This choice of court is non-exclusive and does not prevent either party from bringing proceedings in any other court that has jurisdiction under applicable law.

The parties may instead agree in writing, before or after a dispute arises, to settle it by arbitration administered by the Korean Commercial Arbitration Board under its International Arbitration Rules, by one arbitrator, seated in Seoul and conducted in English (or in Korean for a Customer located in the Republic of Korea). Either party may seek interim relief from a competent court.
